Please read these terms carefully to understand the conditions of using Mira.

Welcome to Mira.
These Terms of Service, together with any supplemental terms, product rules, order forms, subscription terms, credit rules, privacy policy, and other policies referenced herein, constitute a legally binding agreement between you and Deep Principle (Hangzhou) Technology Co., Ltd. ("Deep Principle," "Mira," "we," "us," or "our") regarding your access to and use of Mira websites, applications, AI research collaboration platform, software, tools, content, and related services.
Please read these Terms carefully. By creating an account, clicking "I agree," accessing, purchasing, or using Mira, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use Mira.
Scope of These Terms
These Terms apply to your access to and use of Mira, including but not limited to account registration and login, AI conversations, project collaboration, knowledge management, task execution, research assistance, output generation, subscriptions, credits, paid services, and other features provided through Mira.
Some Mira services may be provided by our affiliates, partners, vendors, or other authorized entities due to business operations, regional deployment, legal requirements, payment arrangements, or service availability. If a specific service, order page, invoice, or supplemental agreement identifies another contracting entity or additional terms, such specific terms will apply to that service.
Additional rules may apply to certain features, plans, campaigns, paid services, credits, APIs, enterprise services, beta features, or regional versions of Mira. These additional rules form part of these Terms. If there is a conflict between these Terms and specific supplemental terms, the supplemental terms will control for the relevant service or feature.
What Mira Provides
Mira is an AI research collaboration platform designed for scientific research, R&D, and professional knowledge work. Mira may assist users with AI conversations, literature and knowledge organization, research support, project management, task execution, workflow assistance, analysis, drafting, summarization, visualization, and generation of reports, documents, charts, presentations, datasets, and other outputs.
Mira may generate responses, suggestions, files, reports, analyses, summaries, or other outputs based on your prompts, instructions, uploaded materials, project context, settings, or use cases.
You understand and agree that Mira is powered by artificial intelligence technologies. AI-generated content may be inaccurate, incomplete, outdated, biased, non-reproducible, or unsuitable for your specific purpose. Mira is not a substitute for professional judgment, experimental validation, expert review, or independent verification.
For scientific, experimental, engineering, manufacturing, medical, legal, financial, safety-critical, regulatory, or other professional or high-risk contexts, you are solely responsible for reviewing, validating, and deciding whether and how to rely on any output generated by Mira.
Eligibility and Authority
You must be legally capable of entering into these Terms in your jurisdiction. If you are under the age of majority in your jurisdiction, you may only use Mira with the consent and supervision of a parent or legal guardian.
If you access or use Mira on behalf of a company, university, laboratory, research group, institution, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, "you" refers to both you personally and the organization you represent.
You are responsible for ensuring that your use of Mira complies with all laws, regulations, institutional policies, confidentiality obligations, research ethics requirements, grant terms, export control rules, sanctions regulations, and industry standards applicable to you.
Account Registration and Security
You may need to create an account to access certain Mira features. You agree to provide accurate, current, lawful, and complete registration information, including a valid email address, and to keep your information up to date.
You are responsible for maintaining the confidentiality and security of your account credentials, verification codes, passwords, and login information. All activities under your account will be deemed authorized by you unless caused by our gross negligence or willful misconduct.
You must promptly notify us if you believe your account has been compromised or used without authorization.
We may require additional verification or information when reasonably necessary for account security, fraud prevention, billing, compliance, service delivery, or legal obligations.
We may suspend, restrict, freeze, or terminate your account if we reasonably believe that your account is subject to security risk, unauthorized access, abuse, fraud, violation of these Terms, or violation of applicable law.
Acceptable Use
You agree to use Mira lawfully, responsibly, and in accordance with these Terms.
You must not use Mira to upload, input, generate, publish, transmit, process, or distribute content that:

violates any applicable law, regulation, court order, or governmental requirement;

infringes or misappropriates intellectual property, privacy, publicity, confidentiality, trade secret, or other rights of any third party;
-
is defamatory, harassing, abusive, discriminatory, hateful, threatening, exploitative, obscene, or otherwise harmful;
-
promotes violence, terrorism, self-harm, illegal activities, fraud, deception, or unlawful discrimination;
-
contains malware, viruses, harmful code, or attempts to disrupt systems or networks;
-
unlawfully collects, processes, discloses, or exploits personal data;
-
violates research ethics, laboratory safety rules, biosafety rules, chemical safety rules, export control requirements, or institutional policies;
-
is intended to mislead others regarding the source, reliability, authorship, or human involvement of generated content.
You must not:
-
attack, probe, scan, bypass, disable, overload, or interfere with Mira systems, networks, security measures, rate limits, billing systems, or usage restrictions;

use bots, scrapers, automated scripts, or bulk request tools in a manner that abuses or disrupts Mira;
-
reverse engineer, decompile, disassemble, copy, extract, or attempt to derive source code, models, algorithms, system architecture, prompts, non-public data, or proprietary methods from Mira, except to the extent such restriction is prohibited by applicable law;
-
resell, sublicense, lease, distribute, or provide Mira as a competing service without our written permission;
-
impersonate another person or entity, misrepresent affiliation, or create accounts through false, misleading, or unauthorized means;
-
use Mira to violate export controls, sanctions, embargoes, or restrictions applicable to software, AI technologies, scientific tools, chemicals, materials, or technical data;
-
use Mira to develop, optimize, or facilitate unlawful weapons, hazardous materials misuse, illegal chemical or biological activities, or other unsafe applications;
-
remove, obscure, or alter any notices, labels, citations, safety warnings, or usage restrictions included in Mira outputs where such notices are required by law, product rules, or safety policies.
We may monitor, review, restrict, block, or remove content or usage where reasonably necessary to protect users, third parties, platform security, service integrity, legal compliance, or public safety.
User Content
"User Content" means any text, prompts, files, data, images, code, research materials, project materials, experimental data, documents, feedback, instructions, or other content that you upload, submit, input, import, provide, or make available to Mira.
You retain all rights you lawfully own in your User Content. These Terms do not transfer ownership of your User Content to us.
You represent and warrant that:

you have all rights, licenses, permissions, consents, and authority necessary to provide and use your User Content with Mira;
-
your User Content does not violate applicable law or third-party rights;
-
your User Content does not contain data that you are prohibited from submitting to Mira, including confidential, regulated, controlled, export-restricted, or sensitive data unless you are authorized to do so and your plan or agreement permits such use;
-
if you use Mira on behalf of an organization, you have authority to provide organizational data and materials to Mira.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, and use your User Content solely as necessary to provide, maintain, secure, support, troubleshoot, improve, and operate Mira, comply with law, enforce these Terms, and perform actions requested by you.
Our handling of personal data is governed by the Mira Privacy Policy.
AI Output
"Output" means any response, summary, analysis, document, report, chart, presentation, dataset, code, task result, recommendation, or other material generated by Mira based on your User Content, prompts, instructions, settings, project context, or use of the service.
Subject to your compliance with these Terms and applicable law, you may use Output for personal, academic, research, internal business, commercial, or other lawful purposes.
You are responsible for reviewing and validating Output before using, publishing, sharing, relying on, or incorporating it into any research, experiment, product, submission, report, business process, regulatory filing, patent application, academic publication, clinical workflow, manufacturing process, or other professional activity.
You understand that:

Output may be inaccurate, incomplete, outdated, biased, non-original, non-reproducible, or unsuitable for your intended purpose;

similar or identical output may be generated for other users;
-
Output does not represent our opinion, guarantee, endorsement, professional advice, scientific conclusion, legal advice, medical advice, financial advice, or regulatory determination;
-
Mira does not guarantee that Output will be patentable, copyrightable, non-infringing, commercially viable, experimentally valid, safe, or compliant with any journal, institution, regulator, or industry standard;
-
you should not represent AI-generated Output as human-authored where doing so would be misleading, unlawful, or contrary to applicable academic, professional, institutional, or publication rules.
Intellectual Property Rights
Mira, including its software, platform, interfaces, workflows, models, systems, documentation, product design, templates, graphics, logos, trademarks, service marks, features, technology, and all related intellectual property rights, is owned by Deep Principle, its affiliates, licensors, or other rights holders.
Except as expressly permitted by these Terms, you may not copy, modify, translate, adapt, distribute, sell, lease, sublicense, publicly display, publicly perform, mirror, scrape, reverse engineer, decompile, or otherwise exploit Mira or any portion of it without prior written permission.
No rights are granted to you except as expressly stated in these Terms.
If you provide feedback, suggestions, bug reports, ideas, feature requests, comments, or other input regarding Mira, you grant us the right to use, disclose, reproduce, modify, commercialize, and incorporate such feedback without restriction, attribution, or compensation to you.
Privacy and Data Protection
We care about privacy and data protection. Our collection, use, storage, disclosure, and protection of personal data are described in the Mira Privacy Policy.
Depending on your region, service version, account type, and infrastructure arrangement, your data may be processed or stored in different jurisdictions. For services offered specifically for mainland China, data collected and generated in mainland China may be stored in mainland China. For international services, data processing and storage arrangements will be described in the applicable Privacy Policy, service page, order form, or supplemental agreement.
If you use payment, invoicing, cloud storage, messaging, authentication, analytics, model, or other third-party services through or in connection with Mira, those third parties may process relevant data under their own terms and privacy policies.
If you use Mira on behalf of an organization, you are responsible for ensuring that you have obtained all required authorizations and consents from the organization and any relevant data subjects, and that your use complies with applicable confidentiality, privacy, data security, institutional, and contractual obligations.
No method of transmission or storage over the internet is completely secure. While we use reasonable administrative, technical, and organizational measures to protect Mira, we cannot guarantee absolute security.
Paid Services, Subscriptions, and Credits
Some Mira features may be offered for free, while others may require payment, subscription, credits, usage-based charges, or other fees.
By purchasing or using paid services, you agree to pay all applicable fees, taxes, and charges according to the pricing, order page, plan description, subscription terms, credit rules, invoice, or other payment terms presented to you.
Mira may use credits, usage quotas, subscriptions, top-ups, add-ons, promotional credits, reward credits, or other usage units. The specific rules for allocation, consumption, expiration, refundability, transferability, and billing of credits or paid services are governed by the applicable Mira Paid Services and Credit Rules and the relevant service page.
Unless otherwise stated:

fees are due at the time of purchase or renewal;
-
paid services may be provided by third-party payment processors;
-
taxes, currency conversion fees, bank charges, and payment processing fees may apply;
-
promotional credits, free credits, trial credits, reward credits, or campaign benefits have no cash value and may be subject to expiration, usage limits, and revocation in cases of fraud or abuse;
-
unused credits or prepaid fees may be non-refundable except where required by law or expressly stated in applicable rules.
We may change pricing, plan features, credit consumption rules, free quotas, or paid service terms from time to time. We will provide reasonable notice where required by law or where the change materially affects existing paid services. If you do not agree to the updated paid terms, you should stop using the relevant paid service before the change takes effect.
Beta Features and Experimental Services
We may offer beta, preview, experimental, early access, or trial features. Such features may be incomplete, unstable, inaccurate, changed, suspended, or discontinued at any time.
Beta features are provided for testing and feedback and may be subject to additional restrictions. You should not rely on beta features for critical, production, regulated, safety-sensitive, or commercial decisions unless expressly authorized by us in writing.
Third-Party Services
Mira may integrate with, rely on, or provide access to third-party technologies, AI models, APIs, databases, cloud services, payment processors, communication tools, file services, authentication providers, analytics tools, or other third-party services.
Third-party services may be governed by their own terms, privacy policies, usage restrictions, availability limitations, pricing rules, and compliance requirements. We are not responsible for third-party services, and we do not guarantee their availability, accuracy, legality, security, or performance.
Changes, interruptions, errors, rate limits, price changes, policy updates, or service failures of third-party services may affect Mira availability, results, task completion, credit consumption, or paid services.
Service Changes and Availability
We may add, modify, suspend, restrict, or discontinue any part of Mira at any time for reasons including product improvement, technical maintenance, security, legal compliance, business operations, third-party service changes, user protection, or risk management.
We will use reasonable efforts to maintain Mira, but we do not guarantee that Mira will be uninterrupted, error-free, secure, available in all regions, compatible with all devices, or suitable for your specific needs.
We may temporarily or permanently restrict access to Mira where required by law, sanctions, export controls, security concerns, abuse prevention, or operational limitations.
Copyright and Rights Complaints
If you believe that content made available through Mira infringes your intellectual property rights, you may contact us with sufficient information to identify the allegedly infringing content and your rights.
Your notice should include:

your name and contact information;
-
identification of the copyrighted work or other rights allegedly infringed;
-
identification of the allegedly infringing content or location;
-
a statement that you have a good-faith belief that the use is unauthorized;
-
a statement that the information in your notice is accurate;
-
your physical or electronic signature.
We may remove, restrict, or disable access to content where appropriate and may take action against repeat infringers.
Termination by You
You may stop using Mira at any time. You may also request account deletion, cancel subscriptions, stop purchasing paid services, or terminate your use of Mira as permitted by applicable product rules.
Account deletion may be irreversible. After account deletion, you may lose access to your account, projects, files, conversations, tasks, outputs, credits, subscriptions, and other data, unless otherwise required by applicable law or stated in applicable rules.
Suspension and Termination by Us
We may suspend, restrict, or terminate your access to Mira, in whole or in part, if:

you violate these Terms or applicable supplemental terms;
-
you violate applicable law or third-party rights;
-
your account is involved in fraud, abuse, attacks, unauthorized access, excessive consumption, security risk, or suspicious activity;
-
your User Content or use of Mira creates legal, regulatory, security, safety, reputational, or operational risk;
-
required by law, regulation, court order, governmental request, sanctions, export control, or regulatory authority;
-
necessary due to product changes, service discontinuation, third-party service changes, or business operations.
Upon termination, your right to access and use Mira will cease. Sections relating to intellectual property, user responsibilities, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will remain in effect.
Disclaimers
Mira is provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.
We do not warrant that:

Mira will meet your requirements or expectations;
-
Mira will be uninterrupted, timely, secure, error-free, or free from harmful components;
-
any Output will be accurate, complete, reliable, original, reproducible, safe, non-infringing, or suitable for your intended use;
-
any defects or errors will be corrected;
-
Mira will comply with the requirements of any specific journal, institution, regulator, grant program, laboratory protocol, industry standard, or professional body.
You are solely responsible for your use of Mira and for any decisions, actions, experiments, publications, submissions, products, processes, or business activities based on Mira or its Output.
High-Risk Use
You must not use Mira as the sole basis for decisions or actions in high-risk areas, including but not limited to medical diagnosis or treatment, legal advice, financial advice, investment decisions, emergency response, human safety, critical infrastructure, regulated manufacturing, hazardous chemical or biological activities, weapons-related activities, or decisions that may have legal or similarly significant effects on individuals.
Where you use Mira in scientific, laboratory, engineering, manufacturing, or regulated contexts, you must apply appropriate human review, professional judgment, safety controls, experimental validation, institutional approval, and legal compliance procedures.
Limitation of Liability
To the maximum extent permitted by applicable law, Deep Principle, Mira, our affiliates, directors, officers, employees, agents, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including loss of profits, revenue, business opportunities, goodwill, data, research results, anticipated savings, production, or business interruption, arising out of or related to your use of or inability to use Mira.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or related to these Terms or Mira will not exceed the amount you paid to Mira for the relevant service during the most recent billing cycle before the event giving rise to the claim. If you have not paid for Mira, our liability will be limited to the minimum amount permitted by applicable law.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Deep Principle, Mira, our affiliates, directors, officers, employees, agents, licensors, service providers, and partners from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:

your User Content;

your use or misuse of Mira or Output;

your violation of these Terms or supplemental terms;
-
your violation of applicable law, regulation, export control, sanctions rule, institutional policy, or third-party rights;
-
your use of Mira on behalf of an organization without proper authority;
-
your research, experiment, publication, product, service, business decision, or other activity based on Mira or Output.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business operations, legal requirements, security practices, paid services, or user experience.
If we make material changes, we will provide notice through reasonable means, such as website notice, in-product notice, email, or other communication channels. The updated Terms will become effective on the date stated in the notice or, if no date is stated, when posted.
If you do not agree to the updated Terms, you must stop using Mira. Your continued use of Mira after the updated Terms take effect means that you accept the updated Terms.
We will not retroactively change your rights to User Content or personal data in a materially adverse way without appropriate notice or consent where required by law.
Governing Law and Dispute Resolution
Unless otherwise specified in a service-specific agreement, order form, or mandatory law applicable to you, these Terms and any dispute arising out of or related to these Terms or Mira will be governed by the laws of the People’s Republic of China, without regard to conflict of law principles.
The parties will first attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation, either party may submit the dispute to a court with competent jurisdiction at the defendant’s domicile, unless otherwise required by applicable mandatory law or agreed in a separate written agreement.
If you use a Mira service specifically offered for an overseas market and a separate governing law, jurisdiction, arbitration clause, or contracting entity is identified on the relevant page, order form, or agreement, that specific arrangement will apply.
Miscellaneous
These Terms constitute the entire agreement between you and us regarding Mira, unless you have entered into a separate written agreement with us.
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Our failure or delay in exercising any right under these Terms does not constitute a waiver of that right.
You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with merger, acquisition, restructuring, sale of assets, affiliate arrangement, or operation of law.
Headings are for convenience only and do not affect interpretation.
